In relation to real property transactions, we draft and negotiate letters of intent, right of first refusal agreements, option agreements, purchase and sale agreements and ancillary documents such as estoppel certificates, SNDAs, leases, escrow hold back agreements and property management agreements. We assist our clients in performing all due diligence activities relating to the acquisition and disposition of real estate including performing lease, title, survey and environmental review. In addition, we assist our clients with the negotiation and documentation of the financing aspect of real property transactions. We negotiate and draft the required loan documents relating to acquisition loans as well as refinancing, defeasance and assignment and assumption of existing loans.

REAL ESTATE STRUCTURING

In connection with real property acquisitions and dispositions, we structure and set up limited liability companies, partnerships and joint ventures.

We assist our clients through all phases of the real estate development process, including purchase options and rights of first refusal, land acquisitions, construction, protective covenants, easement agreements and leasing.

SUBSTANTIAL EXPERIENCE

Due to our substantial experience, we routinely act as lead counsel with respect to our client’s real estate transactions throughout the United States.  For international real estate transactions we identify foreign legal advisors on behalf of our clients and coordinate with these advisors in the acquisition, development and disposition of real property.
